Terms governing the 5-Day Operational Diagnostic conducted by Agentised Ltd for professional services firms.

1. Engagement Overview

Agentised Ltd ("Supplier") will conduct a 5-day operational diagnostic ("Diagnostic") for the Client to identify, map, and prioritise workflows suitable for supervised AI agent deployment across the Client's practice operations.

The Diagnostic is a standalone engagement. There is no obligation on either party to proceed to a subsequent pilot or retainer phase, though a credit applies as set out in Section 3 below.

2. Scope of Work

During the 5-day Diagnostic, the Supplier will:

  • Conduct an intake call to understand the Client's current service lines, team structure, and operational pain points.
  • Map existing workflows across the Client's core service areas, identifying time-intensive, repetitive, or error-prone processes.
  • Identify and rank the top 3 workflows where supervised AI agents would deliver the greatest time recovery and operational improvement.
  • Produce a written Diagnostic Report containing findings, prioritised recommendations, estimated time savings, and a proposed implementation roadmap.
  • Build and deliver a working sample workflow ("Workflow Demo") for the highest-priority use case identified during the Diagnostic. This is a functional demonstration using anonymised or sample data to show the Client exactly how the proposed agent would operate in practice, including approval gates and audit trail.

The Diagnostic does not include the deployment or operation of any AI agents on live Client data or systems. Live deployment is covered under a Pilot or Retainer agreement.

3. Diagnostic Deliverables

Diagnostic Report

Written report covering: current workflow mapping across the Client's service lines; identification of operational bottlenecks and time-intensive manual processes; top 3 ranked workflows suitable for supervised AI agent deployment; estimated weekly hours recovered per workflow; and a proposed implementation roadmap with recommended sequencing.

Working Workflow Demo

A functional, end-to-end demonstration of the top-priority workflow built on the Supplier's agent infrastructure. The demo uses anonymised or sample data and shows the complete cycle: trigger → agent processing → draft output → approval gate → action. The Client will be walked through the demo in a live presentation at the conclusion of the Diagnostic. The Workflow Demo is illustrative and operates on sample data only; it is not connected to live Client systems.

Pilot Proposal

A written proposal for the 30-Day Pilot phase (if the Client wishes to proceed), including scope, timeline, fees, and the Diagnostic Credit. Proceeding to the Pilot is entirely optional.

4. Fees and Payment

Fees for the Diagnostic are as quoted to the Client and confirmed at checkout. Payment is due in full prior to commencement. Payment is processed via Stripe. By completing payment, the Client agrees to these Engagement Terms and the accompanying Data Processing Addendum.

Where a Pilot Credit is offered, it is applied as a reduction to the setup fee of any Pilot engagement entered into within 30 calendar days of Diagnostic completion. The Pilot Credit has no cash value and is non-transferable.

5. Timeline and Delivery

Days 2–3Workflow mapping and analysis. The Supplier reviews the Client's processes, identifies bottlenecks, and ranks workflows by time-recovery potential.
Day 4Working Workflow Demo build. The Supplier constructs a functional sample workflow for the top-priority use case using anonymised or sample data.
Day 5Presentation call. The Supplier delivers the Diagnostic Report and walks the Client through the Working Workflow Demo live. Pilot proposal presented (optional, no obligation).

Commencement is defined as the date on which the Supplier has received both full payment and access to the materials reasonably required to perform the Diagnostic (as communicated during the intake call).

The Diagnostic Report will be delivered electronically in PDF format. The Working Workflow Demo will be presented live and a recording or walkthrough document provided to the Client for reference.

6. Client Obligations

To enable the Supplier to complete the Diagnostic, the Client agrees to:

  • Make a nominated point of contact available for an intake call of up to 60 minutes during the Diagnostic period.
  • Provide reasonable access to information about current workflows, service lines, and operational structure as requested by the Supplier.
  • Respond to reasonable queries from the Supplier within 1 business day during the Diagnostic period.

Delays caused by the Client's failure to provide access or information may extend the Diagnostic timeline by an equivalent period.

7. Data Protection

Where the Supplier processes personal data on behalf of the Client during the Diagnostic, the parties' respective obligations are set out in the Data Processing Addendum ("DPA"), which is incorporated into and forms part of these Engagement Terms.

Where feasible, the Diagnostic will be conducted using anonymised or redacted data. Where the Client provides personal data, the DPA governs its processing.

8. Intellectual Property

The Diagnostic Report, Working Workflow Demo, and all materials produced during the Diagnostic are the intellectual property of Agentised Ltd. Upon receipt of full payment, the Client is granted a perpetual, non-exclusive, non-transferable licence to use the Diagnostic Report for the Client's own internal business purposes.

The Working Workflow Demo is provided for demonstration and evaluation purposes only. The Client may not deploy, reproduce, or adapt the Workflow Demo for production use without entering into a Pilot or Retainer agreement. The demo environment will remain accessible to the Client for 14 days following the Diagnostic presentation.

The Supplier retains the right to use anonymised and aggregated insights from the Diagnostic for the purposes of improving its services, methodologies, and marketing materials, provided no confidential information attributable to the Client is disclosed.

9. Confidentiality

Each party agrees to keep confidential any information received from the other party that is not publicly available, and to use such information only for the purposes of this engagement. This obligation survives termination of the engagement for a period of 2 years.

10. Limitation of Liability

The Supplier's total aggregate liability under or in connection with this engagement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client under these Engagement Terms.

Neither party excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

11. Cancellation

The Client may cancel the Diagnostic by written notice (including email) at any time prior to commencement. In such case, a full refund of fees paid will be issued within 14 business days.

If the Client cancels after commencement, fees paid are non-refundable but the Supplier will deliver any work completed up to the point of cancellation.

12. Governing Law

These Engagement Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising out of or in connection with these Engagement Terms.

By completing payment via Stripe checkout, the Client confirms acceptance of these Engagement Terms and the accompanying Data Processing Addendum.
